Terms of Service

These Terms of Service ("Terms") govern access to and use of FounderOS, an AI-powered platform for solo founders raising capital, available at myfounderos.app (the "Service"), operated by Jefferson Buiar ("we," "us," "our"). By creating an account, subscribing to a plan, or otherwise using the Service, you ("you," "User") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

FounderOS provides AI-assisted tools for founders raising capital, including an Investor Pipeline and Investor Board, a Term Sheet Analyzer, a Cap Table Simulator, MRR Trends, and an AI Co-Founder assistant. AI features are processed using a third-party model (Anthropic's Claude API). Features may be added, modified, or removed as the product evolves; this page is updated when that happens.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By using FounderOS, you represent that you meet these requirements.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use. Authentication is handled via Supabase; we do not store your password in plain text.

4. Subscription Plans, Free Trial, Billing & Token Limits

4.1 Plans. FounderOS is offered on the paid subscription plans listed below. Plan features and AI usage allowances are set out in this section and on our pricing page.

4.2 Free trial. New accounts are eligible for a one-time seven (7) day free trial. A valid payment method is required to start the trial. You are not charged during the trial period.

4.3 Conversion to paid. Unless you cancel before the trial ends, your subscription starts automatically on day 8 and the payment method on file is charged for the plan you selected. Billing then recurs monthly or annually, depending on that plan, until cancelled.

4.4 Cancellation and refunds. You may cancel at any time from your account settings. Cancelling during the trial prevents any charge. Cancelling after billing has started stops future renewals, and your access continues until the end of the period already paid. We do not provide prorated refunds for partial billing periods except where required by law.

4.5 AI usage allowances. Each plan includes a daily token allowance for AI-powered features:

Daily token allowances reset every 24 hours and do not roll over. When an allowance is reached, AI features pause until the next reset window; all other features remain available. We may adjust allowances with notice posted on this page.

4.6 Payment processing. Payments are processed by Stripe. We do not store your card details.

4.7 Price changes. We may change subscription prices with at least thirty (30) days notice by email. Changes apply to your next renewal and never to a period already paid.

5. AI-Generated Content & Disclaimers

You are solely responsible for reviewing, verifying, and deciding whether to use any AI-generated content, including before sending it to investors, signing any agreement, or making any financial decision. The Term Sheet Analyzer in particular does not replace review by a qualified attorney. We do not guarantee the accuracy, completeness, or suitability of any AI-generated output.

6. Your Data and Content

You retain ownership of the information you input (including financial figures, investor data, and documents) and the outputs generated for you. You grant us a limited license to process this data solely to operate and improve the Service. We do not sell your data or use it to train third-party models beyond what is necessary to deliver the Service through our AI provider, in accordance with our Privacy Policy.

7. Acceptable Use

You agree not to:

• Reverse engineer, scrape, or attempt to extract the underlying prompts, models, or source code of the Service;
• Use the Service to generate fraudulent, deceptive, or illegal content, including misrepresenting financial figures to investors;
• Share your account credentials or resell access to the Service;
• Use automated means to exceed your plan's token allowance or circumvent usage limits.

Violation of this section may result in suspension or termination of your account without refund.

8. Third-Party Services

The Service relies on third-party providers, including Stripe (payments), Supabase (authentication and database), Cloudflare (hosting), and Anthropic (AI processing). Your use of the Service is also subject to the applicable terms of these providers where relevant.

9. Limitation of Liability

To the maximum extent permitted by law, FounderOS and its operator are not liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or investor relationships, arising from your use of the Service or reliance on AI-generated content. The Service is provided "as is" without warranties of any kind.

10. Termination

We may suspend or terminate your access to the Service for violation of these Terms, non-payment, or at our discretion with reasonable notice. You may stop using the Service and cancel your subscription at any time.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of Brazil. Any disputes arising from these Terms or use of the Service will be subject to the jurisdiction of the courts of Paraná, Brazil, unless otherwise required by applicable consumer protection law in your jurisdiction.
